Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("Customer", "Shipper", "you") and AV Logistics Group INC, a California corporation doing business as "1 Way Global Logistics" ("we", "us", "1WGL"). By requesting a quote, tendering freight, using our warehousing services, or otherwise using our website or Services, you agree to these Terms.
1. Services
1WGL is a licensed U.S. property broker (FMCSA-registered) and 3PL warehouse operator. We arrange for the transportation of freight by third-party motor carriers, and we operate warehousing / fulfillment services from our Banning, California facility. Except where we explicitly hold ourselves out as the motor carrier or warehouseman, we act as a broker or agent for your account.
2. Quotes & Booking
Quotes are valid for the period stated in the quote (typically 7 days) and are based on the shipment characteristics you provide. If actual weight, dimensions, freight class, or services differ from those quoted, the rate may be adjusted to reflect the actual shipment. Booking is confirmed when we send a booking confirmation with a load number.
3. Payment Terms
- New customers: prepaid by credit card, ACH, or wire before pickup unless credit terms are approved in writing.
- Credit customers: Net-15 unless stated otherwise on the invoice. Late payments accrue interest at 1.5% per month or the maximum legal rate, whichever is lower.
- Card payments are processed by Stripe, Inc. under its own terms. We do not store full payment-card numbers.
- Disputes to any invoice must be raised in writing within 30 days of the invoice date, or the invoice is deemed accepted.
4. Cargo Liability
Cargo liability for motor-carrier transportation is governed by 49 U.S.C. § 14706 (Carmack Amendment) and the applicable carrier's tariff. Unless a higher declared value is specified and additional charges are paid, liability is limited as follows:
- LTL: per the assigned carrier's tariff, typically the lesser of actual value, $25/lb, or a per-shipment maximum.
- FTL: $100,000 per shipment unless a higher declared value is arranged in writing before pickup.
- Warehousing: $0.50 per pound per lost/damaged article unless a higher value is declared and rate is agreed.
To perfect a claim, notice must be given within 24 hours of delivery for concealed damage or on the delivery receipt for visible damage; a written claim must follow within 9 months of delivery.
5. Prohibited & Restricted Cargo
You may not tender the following without prior written approval from 1WGL:
- Hazardous materials (49 CFR Parts 100–185) — approved on a case-by-case basis with proper documentation.
- Firearms, ammunition, explosives.
- Live animals or perishable goods without written temperature/handling requirements.
- Currency, negotiable instruments, gemstones, or precious metals.
- Illegal goods, controlled substances (except properly-licensed hemp/CBD with COA), or goods prohibited by federal, state, or destination-country law.
- Human remains or biological/medical waste.
6. Warehousing Terms
Warehousing services are governed by our warehouse receipts and the California Commercial Code § 7-201 et seq. Storage charges accrue on a monthly basis. Goods left unclaimed for more than 90 days past the paid-through date may be sold at public auction to satisfy the warehouseman's lien, on 30 days' written notice.
7. Cancellation & No-Show
- Cancellation more than 4 hours before scheduled pickup: no charge.
- Cancellation within 4 hours or at-the-dock: TONU (truck order not used) fee equal to the greater of $250 or the driver's dry-run cost.
- Expedited / dedicated shipments: 100% of quoted rate if canceled after driver dispatch.
8. Website Use
You agree not to use the Site to (a) impersonate any person, (b) attempt to gain unauthorized access to our systems, (c) submit false shipment information, or (d) violate any applicable law. See our Acceptable Use Policy.
9. Warranties & Disclaimers
The Site is provided "AS IS" without warranties of any kind. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Freight and warehousing services carry only the express warranties in these Terms.
10. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services (other than cargo liability under Section 4, which is exclusively governed by Section 4) will not exceed the greater of (a) the fees paid to us for the specific shipment giving rise to the claim, or (b) $500. We are not liable for consequential, incidental, indirect, special, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless AV Logistics Group INC, its officers, employees, and carriers from any claim arising out of (a) your breach of these Terms, (b) your tender of prohibited or misdescribed cargo, or (c) your violation of any law or third-party right in connection with the Services.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles, and by applicable U.S. federal law (including the Carmack Amendment where it applies). Any dispute will be brought in the state or federal courts located in Riverside County, California, and you consent to personal jurisdiction there. The prevailing party is entitled to recover reasonable attorneys' fees and costs.
13. Changes
We may update these Terms from time to time. The "Last updated" date reflects the effective date of any changes. Continued use of the Services after a change constitutes acceptance.
